Terms of Service

Effective date: September 7, 2026

These Terms of Service ("Terms") form a binding agreement between you — the individual or the legal entity you represent — and Budgetaris Inc. ("Budgetaris", "we", "us"), a Colorado corporation with offices at 2810 Arapahoe Way, Suite 400, Denver, CO 80205. They govern your access to the budgetaris.life website and your use of the Budgetaris Desktop software and related services (together, the "Service"). By creating an account, installing the software or using the Service, you accept these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

The Service and accounts

The Service is a financial planning, budgeting and forecasting application for business use. You must be at least 18 years old and capable of forming a binding contract to use it. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use. Each account is for a named individual; shared or transferred logins are not permitted except as part of an authorized Enterprise deployment.

License and restrictions

Subject to payment of applicable fees and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your internal business purposes during the subscription term. You may not: reverse engineer, decompile or attempt to extract the source code of the software; resell, sublicense, rent or lease the Service or your access to it; use the Service to build a competing product; remove or obscure any proprietary notices; or access the Service to scrape, harvest or copy data in bulk. The Service is licensed, not sold, and we retain all rights not expressly granted.

Acceptable use

You agree not to use the Service to: violate any applicable law or regulation; infringe the intellectual property or other rights of any third party; transmit malicious code or attempt to disrupt the Service; gain unauthorized access to other accounts, systems or data; submit unlawful, defamatory or fraudulent content; or use the Service in connection with illegal activity. We may suspend access to the Service if we reasonably believe these rules have been violated, with notice where practicable.

Fees, payment and taxes

Fees for the Service are described on the pricing page and in your order. Unless otherwise agreed, fees are due in advance, are non-cancelable except as stated in the Refund Policy, and are payable by credit card or ACH within 14 days of invoice. You are responsible for all taxes, duties and similar charges, other than taxes based on our net income; where required, we will collect and remit sales tax. If payment is not received when due, we may suspend the Service after written notice, and we may charge interest on late amounts at the highest rate permitted by law. Subscription plans renew automatically for the same term unless either party cancels before the renewal date.

Trials and free usage

If you use the Service on a trial basis, the trial is free for the stated period and includes the features of the plan you are evaluating. Trial data is subject to this agreement; when a trial expires without conversion to a paid plan, you retain export rights for 90 days as described in the Refund Policy.

Intellectual property

As between you and us, you retain all rights in the data, models and content you submit to the Service ("Your Data"), and you grant us a limited license to process Your Data solely to provide and secure the Service. We own the Service, the software, the Budgetaris name and logo, our templates and all related intellectual property. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them to improve the Service. We will never use Your Data for advertising or train third-party models on it, and we will never sell Your Data.

Confidentiality and security

Each party will protect the other's non-public information using at least the same care it uses for its own and will use it only to perform under these Terms. We maintain the security program described on our security page and will notify you without undue delay of any confirmed security incident affecting Your Data.

Third-party services

The Service may integrate with third-party products such as accounting systems and identity providers. We do not control those products and are not responsible for them; your use of third-party products is governed by their own terms. Integrations transmit data only as you configure them.

Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that results from planning models will be accurate for your specific circumstances. Budgeting outputs depend on the assumptions you enter; the Service does not constitute financial, legal or tax advice. You are responsible for your financial decisions.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages. Our total aggregate liability arising out of or related to these Terms will not exceed the amounts you paid us for the Service in the twelve months preceding the claim. These limitations do not apply to liability that cannot be limited by law, including gross negligence, willful misconduct or fraud.

Indemnification

You will defend, indemnify and hold harmless Budgetaris and its officers, employees and agents from and against any third-party claim arising out of your use of the Service, your violation of these Terms, or your violation of applicable law. We will notify you of any such claim and may participate in its defense at our own expense.

Termination

You may cancel your subscription at any time through the account settings or by contacting support; cancellation takes effect at the end of the current billing period. We may terminate or suspend your access for breach of these Terms, non-payment, or activity that threatens the security or availability of the Service, with notice where practicable. Upon termination, your license ends; you may export Your Data during the subscription and for 90 days after termination, after which we may delete it. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification and dispute resolution — will survive.

Changes to the Service and these Terms

We may modify the Service from time to time, and we may update these Terms to reflect changes in the Service or the law. When we change the Terms materially, we will update the effective date and notify you by email or within the Service. Changes take effect on the stated date; if you continue using the Service afterward, you accept the updated Terms.

Dispute resolution and arbitration

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Except for claims eligible for small claims court, any dispute arising out of or related to these Terms or the Service will be resolved by binding individual arbitration administered in Denver, Colorado, under the rules of the American Arbitration Association, and judgment on the award may be entered in any court of competent jurisdiction. You agree to resolve disputes on an individual basis and waive the right to participate in any class, collective or representative action. You may opt out of arbitration within 30 days of first accepting these Terms by writing to [email protected] with your full name and account email. If arbitration is not permitted for any claim, the exclusive forum and venue for that claim will be the state and federal courts located in Denver County, Colorado, and both parties consent to their jurisdiction.

General

If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy, the Cookie Policy and the Refund Policy, constitute the entire agreement between you and Budgetaris regarding the Service and supersede all prior agreements.
